Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you (individually or on behalf of an organization) and Pathnomic Labs FZ-LLC ("Jobnest," "we," "us," or "our"), a company established in Ras Al Khaimah Free Zone, United Arab Emirates (NIN/registration: Ras Al Khaimah Free Zone company record), regarding your access to and use of the Jobnest platform and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. Acceptance and Scope

These Terms apply to all users of Jobnest, including employers, company team members, candidates, and invited users. Additional signed agreements (such as enterprise agreements or Data Processing Agreements) will control to the extent of a direct conflict.

2. Description of Services

Jobnest is an AI-first interview and hiring workflow platform for high-volume recruitment. Services may include:

  • Job publishing and candidate intake: Public and invitation-based workflows for job applications.
  • AI-led interviews: Voice or text interview sessions with configurable policies and attempt controls.
  • Scoring and extraction: Structured outputs such as summaries, competency signals, and disqualifier flags.
  • Recruiter collaboration tools: Application review views, notes, filtering, and analytics dashboards.
  • Media and transcript handling: Audio/video recording, storage, and playback support.
  • Communication features: Email/SMS invitations, reminders, and account verification workflows.

3. Accounts, Eligibility, and Security

3.1 Employer and Team Accounts

To use Jobnest as an employer or team member, you must:

  • Have authority to bind your company or act with company authorization.
  • Provide accurate and current registration and company information.
  • Use the Services only for lawful recruitment and talent assessment purposes.
  • Comply with labor, anti-discrimination, privacy, and consumer protection laws that apply to your hiring activities.
  • Maintain access controls and role assignments for your team.

3.2 Candidate and Invite-Based Users

Candidates and invited users must:

  • Be legally capable of entering into this agreement in their jurisdiction.
  • Provide truthful identity, profile, and interview information.
  • Not impersonate another individual or submit fraudulent applications.
  • Follow interview rules and technical instructions for recording sessions.
  • Use the Services only for legitimate job-seeking and hiring interactions.

3.3 Account Security

You are responsible for account and session security. You must:

  • Protect credentials, devices, and authentication factors.
  • Promptly notify us of unauthorized access or suspected compromise.
  • Ensure only authorized personnel access employer accounts.
  • Accept responsibility for actions taken through your account unless prohibited by law.
  • Use strong passwords and any required multi-factor authentication controls.

4. AI Features and Important Limitations

4.1 AI-Assisted Functionality

Jobnest uses AI systems to support interview flow and hiring workflows. AI outputs may include:

  • Interview prompts and follow-up questions.
  • Transcript summaries and extracted response fields.
  • Competency indicators and confidence signals.
  • Risk or disqualifier flag suggestions.
  • Operational recommendations for recruiters.

4.2 No Guarantee of Accuracy or Hiring Outcome

Important: AI outputs are probabilistic and may be incomplete, biased, or incorrect. Jobnest does not guarantee job placement, candidate selection, legal compliance outcomes, or hiring performance.

4.3 Human Decision Requirement

You are solely responsible for final employment and screening decisions. You must apply appropriate human review where required by law, including for any materially significant decisions affecting candidates.

4.4 Fair and Lawful Use

You must not use Jobnest in a way that unlawfully discriminates or violates equal opportunity, employment, accessibility, or privacy laws.

5. Privacy, Data Protection, and Security Controls

We apply layered technical and organizational safeguards to reduce data misuse and unauthorized access risks, including:

  • Least-privilege access: Role-based access control and scoped permissions.
  • Encryption: Encryption in transit and encryption at rest for protected data stores.
  • Auditability: Logging of security-relevant actions and access events.
  • Private object storage: Restricted media access using time-limited signed URLs.
  • Processor controls: Contractual controls with subprocessors and vendor risk review.
  • Abuse prevention: Rate limiting, fraud signals, and security monitoring.
  • Incident process: Procedures for containment, investigation, remediation, and notice where required by law.

6. Employer and Recruiter Responsibilities

If you use Jobnest for hiring, you agree to:

  • Provide legally required notices and obtain valid legal grounds for candidate data processing.
  • Use candidate information only for recruitment, compliance, and related lawful HR purposes.
  • Avoid collecting unnecessary sensitive data and configure interview prompts responsibly.
  • Handle candidate rights requests and legal complaints in good faith and in required timelines.
  • Keep disqualifier policies and screening criteria lawful, job-related, and non-discriminatory.
  • Maintain your own recordkeeping and legal compliance obligations as data controller where applicable.
  • Respect that failed or unsubmitted interviews should not be treated as submitted applications.

7. Fees, Billing, and Taxes

7.1 Commercial Terms

Paid features may be offered on subscription, usage-based, bundled, or custom enterprise terms. Pricing, invoicing, and payment deadlines are stated in your order form, dashboard, or signed agreement.

7.2 Billable Interview Events

Unless otherwise agreed in writing, interview attempts exceeding 60 seconds are billable usage events, whether or not a candidate ultimately submits an application.

7.3 Payment Processing

Payment processing may be handled by third parties such as Stripe. By using paid features, you also agree to applicable third-party processor terms and you authorize us to collect due fees, taxes, and lawful late charges.

8. Intellectual Property and Customer Data Rights

The Services, software, models, workflows, interfaces, and related intellectual property are owned by Pathnomic Labs FZ-LLC or its licensors and are protected by law.

You retain ownership of content and data you submit to Jobnest, subject to the licenses needed for us to operate, secure, and improve the Services in accordance with these Terms and our Privacy Policy.

  • You may not copy, sell, sublicense, or commercially exploit the Services except as expressly permitted.
  • You may not reverse engineer, decompile, or attempt to extract source code, security controls, or model behavior in unauthorized ways.
  • You may not remove proprietary notices, trademarks, or legal labels.
  • You may not use the Services to build competing systems through prohibited scraping or automated extraction.
  • Feedback you provide may be used by us without restriction or compensation, unless prohibited by law.

9. Prohibited Conduct

You must not use Jobnest to:

  • Violate any law, regulation, or contractual obligation.
  • Conduct unlawful or discriminatory screening, profiling, or exclusion.
  • Upload malware, exploit vulnerabilities, or perform unauthorized access attempts.
  • Harvest personal data beyond legitimate hiring purposes.
  • Send spam, abusive communications, or deceptive job listings.
  • Impersonate people or entities or submit falsified records.
  • Interfere with platform stability, security, or other users' use of the Services.
  • Use generated outputs as a substitute for required legal or HR compliance review.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED AVAILABILITY.

10.2 No Employment or Legal Advice

JOBNEST IS A TECHNOLOGY PLATFORM. WE DO NOT ACT AS YOUR EMPLOYER, RECRUITMENT AGENCY OF RECORD, OR LEGAL ADVISOR. YOU ARE RESPONSIBLE FOR YOUR HIRING DECISIONS, WORKPLACE POLICIES, AND LEGAL COMPLIANCE.

10.3 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA LOSS ARISING FROM OR RELATED TO THE SERVICES.

  • Use of, or inability to use, the Services.
  • Third-party services, integrations, or vendor outages.
  • Unauthorized access to your account caused by your own security failures.
  • Inaccurate, incomplete, or biased AI outputs.
  • Hiring outcomes, candidate disputes, or employment claims.

Our aggregate liability for all claims in any 12-month period will not exceed the greater of (a) the amount you paid us in that period, or (b) USD 100, except where such limitations are prohibited by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jobnest, its affiliates, officers, employees, and agents from claims, damages, liabilities, penalties, and costs (including reasonable legal fees) arising out of or related to:

  • Your access to or use of the Services.
  • Your violation of these Terms or applicable law.
  • Your recruitment practices, screening criteria, or employment decisions.
  • Your infringement or misuse of third-party rights or data.
  • Your content, prompts, or information submitted through the Services.

12. Third-Party Services and Integrations

Jobnest relies on third-party services to deliver platform functionality. Depending on your configuration, these may include:

  • AI providers: OpenAI and other model providers for language and speech capabilities.
  • Storage and infrastructure: Cloudflare R2, MongoDB, and cloud hosting providers.
  • Communications: Email and SMS providers such as Twilio and transactional email services.
  • Payments: Stripe or equivalent processors for billing.
  • Authentication and anti-abuse: Identity, security, and CAPTCHA providers.

Your use of third-party features may also be subject to those providers' legal terms. We are not responsible for third-party systems or policies outside our reasonable control.

13. Suspension and Termination

We may suspend, restrict, or terminate access immediately if needed to protect users, enforce these Terms, or comply with law, including for:

  • Material breach of these Terms or your commercial agreement.
  • Security incidents, suspected fraud, or abusive activity.
  • Unlawful hiring, discrimination, or misuse of personal data.
  • Repeated infringement claims or policy violations.
  • Non-payment of undisputed fees.
  • Legal or regulatory requests requiring restriction or shutdown.

Upon termination, your right to use the Services ends. Subject to law and contract, we may provide limited data export options and then delete or anonymize remaining data according to our retention policies.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified by posting an updated date, in-product notice, or email where appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.

Unless otherwise required by law or agreed in writing, disputes will be subject to the competent courts of Ras Al Khaimah, UAE. Before filing a claim, each party agrees to attempt good-faith informal resolution for at least 30 days after written notice.

16. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the rest of the Terms will remain in full force and effect.

17. Entire Agreement

These Terms, our Privacy Policy, and any signed order forms or data protection agreements constitute the complete agreement between you and Jobnest regarding the Services and supersede prior discussions on the same subject matter.
